1. Definitions
- "Agreement" means these Terms & Conditions together with any written scope or engagement letter.
- "Service" means the AI integration consultation, setup, or retainer services provided by Bahtera Labs.
- "We / Us / Our" means Bahtera Labs Pte. Ltd., registered in Singapore.
- "You / Client" means the business or individual accessing this website or commissioning our services.
- "Content" means all text, images, documents, and other material on this website.
2. Acceptance of Terms
By using this website or commissioning a service, you confirm that:
- You are at least 18 years of age.
- You have the authority to enter a binding agreement on behalf of your business if applicable.
- You have read and understood these terms.
3. Services Provided
Bahtera Labs provides the following services to Singapore-based small businesses:
- Setting Off Review: A one-session consultation to assess where AI tools may benefit your business operations.
- Crossing Setup: A three-week project to connect business applications and configure a light AI assistant.
- Steady Crew Retainer: A month-to-month engagement for ongoing monitoring, tuning, and support of configured AI tools.
Services are delivered primarily to businesses located in Singapore. Remote delivery is available where agreed in writing.
4. Engagement Process
Each service engagement is governed by a written scope agreed before work begins. The scope defines the deliverables, timeline, and any access required. Work begins upon written confirmation and receipt of any advance payment where applicable.
5. Client Responsibilities
- Provide accurate information about your business processes and tools.
- Make relevant staff available for walkthroughs and testing as agreed.
- Ensure you have the right to grant access to any third-party accounts or tools used in the engagement.
- Not use any setup or configuration produced by Bahtera Labs to facilitate unlawful activities.
6. Payment Terms
- Prices are quoted in Singapore dollars (SGD) inclusive of GST where applicable.
- Setting Off Review: full payment required before the session.
- Crossing Setup: 50% deposit before work begins; balance on completion.
- Steady Crew Retainer: invoiced monthly in advance.
- Payments are accepted by bank transfer or PayNow.
Late payments may result in a pause in service delivery until the account is settled.
7. Cancellation and Refunds
- Setting Off Review: Cancellations with at least 48 hours notice receive a full refund. Cancellations within 48 hours are non-refundable.
- Crossing Setup: The deposit is non-refundable once work has begun. If we are unable to complete the project due to circumstances within our control, we will refund a proportionate share of fees paid.
- Steady Crew Retainer: May be cancelled at any time with 14 days written notice. No refund is issued for the current month.
8. Intellectual Property
All content on this website — text, design, and structure — belongs to Bahtera Labs Pte. Ltd. and may not be reproduced without written permission.
Any written deliverables (opportunity maps, diagrams, summaries) produced specifically for your engagement are yours to use within your business. They may not be resold or redistributed without our consent.
We retain the right to describe the general nature of work completed for anonymised case studies and portfolio purposes.
9. Confidentiality
We treat information about your business as confidential. We will not share it with third parties except where necessary to deliver the agreed service, or where required by law. This obligation continues after the engagement ends.
10. Disclaimers
Services are provided with reasonable care and skill. However:
- We cannot guarantee specific business outcomes from the use of AI tools.
- Recommendations made during a Setting Off Review are based on information provided at the time and should not be treated as professional legal, financial, or technical advice.
- Third-party apps and platforms may change in ways outside our control. We are not responsible for disruption caused by changes to third-party services.
11. Limitation of Liability
To the extent permitted by Singapore law, our total liability for any claim arising from a service engagement is limited to the total fees paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses.
12. Indemnification
You agree to indemnify Bahtera Labs against claims arising from your misuse of any service or configuration, or from inaccurate information you provided during an engagement.
13. Termination
Either party may terminate an engagement by written notice. Upon termination, you will be charged for work completed to date. Access credentials provided for the engagement will be returned or securely destroyed within 5 business days.
14. Governing Law and Disputes
These terms are governed by the laws of Singapore. Any dispute will first be addressed through good-faith discussion. If unresolved within 30 days, disputes may be referred to the Singapore Mediation Centre or the courts of Singapore.
15. General Provisions
- Entire agreement: These terms, together with any written scope, form the complete agreement between us.
- Severability: If any provision is found unenforceable, the rest of these terms continue in effect.
- No waiver: Failure to enforce any term does not constitute a waiver of it.
- Notices: Written notice may be given by email to the addresses agreed at the start of the engagement.
16. Changes to These Terms
We may update these terms from time to time. The updated date at the top of this page will reflect any changes. For active retainer clients, material changes will be communicated by email with at least 14 days notice.
